Terms of Use
These Terms of Use govern the contractual relationship between UMYNO Solutions GmbH (hereinafter: UMYNO) and the users registered on the UMYNO platform (hereinafter: UMYNO Suite) (hereinafter: Users). The Users’ terms and conditions are not part of this agreement and do not apply to the use of the UMYNO Suite, even if UMYNO has not expressly objected to them.
1. How the UMYNO Suite Works and User Accounts
1.1 UMYNO offers web-based recipe management software (UMYNO Suite) on the website http://www.umyno.com for small and medium-sized businesses, specifically for managing beverage and food recipes, as well as related services (hereinafter: Services). The UMYNO Suite is optimized exclusively for desktop use.
1.2 The UMYNO Suite enables developers in the food and beverage industry to plan and manage new products, recipes, and projects. The scope of functions of the UMYNO Suite and the description of the services are made available to the user on the website or by other means (e.g., through a customized offer). This includes, in particular, the supporting services as well as the available optional extensions (hereinafter: Add-Ons). The scope of functions to be provided is determined by the service description as presented on the website or in the individual offer at the time the contract is concluded.
1.3 Users are entitled to access the full range of features of the UMYNO Suite, the add-ons, and all other services and features, depending on the type of account. The available account types are listed on the website or provided in other ways (e.g., through a customized offer).
1.4 Users may send a non-binding request to selected partners for the delivery of a product sample of an ingredient. As a mere intermediary, UMYNO is explicitly responsible only for forwarding the request for a product sample of an ingredient and is not responsible for either the delivery or the quality of the product sample.
1.5 The UMYNO Suite is intended exclusively for professionals, not for end consumers of food or beverages. All users must register before they can use the UMYNO Suite. Once registered, users have an account that they can access using their email address and password.
1.6 The UMYNO Suite is available for testing in a free trial version. UMYNO grants the user the right to use the UMYNO Suite exclusively for testing purposes. A trial account can be converted to a paid account at any time by upgrading. The trial version does not necessarily include all features of the UMYNO Suite.
1.7 For users with certain paid accounts (see Section 1.3), the UMYNO Suite allows for collaboration within an organization. Users are assigned to an organization via an invitation from another user. Each user may be assigned to only one organization. A user can be removed from an organization at any time. This is done by clicking the corresponding button. The information and data contributed by the user to the organization—e.g., recipes, ingredients, or other notes—remain within the organization. In order for different users to be assigned to an organization, they must log in using their company’s email address, which must include the company domain. Every user of an organization is obligated to comply with these Terms and Conditions, the License Agreement, and all regulations referenced herein.
1.8 Users can upload documents or other files to the UMYNO Suite. In the trial version, this is limited to a maximum of 25 MB.
1.9 The user acknowledges and agrees that UMYNO’s Privacy Policy applies to the processing of personal data.
1.10 UMYNO offers optional add-ons for certain accounts. The features and prices for these add-ons are listed on the website or in a customized quote. Purchasing an add-on results in a corresponding increase in the monthly or annual usage fee, as indicated during the purchase process or in the customized quote.
1.11 UMYNO provides, through the UMYNO Suite and its features, merely a technical foundation for the purposes to be implemented by users within the scope of the services purchased (see, in particular, the service description at http://www.umyno.com). Subject to the applicability of statutory liability obligations and subject to the provisions in these Terms and Conditions, UMYNO assumes no responsibility for the actions performed using the UMYNO Suite or for the content processed using the UMYNO Suite. All actions performed by users using the UMYNO Suite and all content processed thereby are subject to the statutory regulations, agreements, and contracts that users enter into with their customers, partners, employees, etc., with whom the users use the UMYNO Suite or for whom the users use the UMYNO Suite.
1.12 UMYNO has the right, at its sole discretion, to provide updates, upgrades, enhancements, and other material improvements to the UMYNO Suite during the term of the License Agreement. The User acknowledges that such measures may result in changes to the appearance and/or functionality of the UMYNO Suite depending on the account type and the supported environment, and/or that continued use of the software may require the User to update their own system, including new operating systems (e.g., iOS, Android, or Windows) or web browsers.
1.13 Through links or features within the UMYNO Suite, users may access third-party websites and software that are not operated by UMYNO and for which UMYNO is not responsible. Such links or features are either clearly marked or can be identified by a change in the browser’s address bar or a change in the user interface. This includes, in particular, the Help Center.
2. User Obligations
2.1 The user is required to provide accurate information during registration. If there is reason to suspect that the information provided is false or incomplete, UMYNO is entitled to request supporting documentation and to suspend the account if such documentation is not provided.
2.2 Each user is allowed only one account.
2.3 The user agrees to keep the password used to access the UMYNO Suite secure and protected from access by third parties.
2.4 Supplier contact information is available in the libraries within the UMYNO Suite. Users are required to process this contact information solely for internal use or for order processing purposes. In particular, the data may not be used to send advertising or disclosed to third parties.
2.5 The user agrees not to copy or disclose to third parties the information provided by the UMYNO Suite, in particular the contact details of suppliers and the characteristics of ingredients.
2.6 The user is responsible for ensuring the security of the Internet connection used, in particular by using the company’s own virtual private networks (VPNs) rather than public ones, as well as by using VPN connections on public networks.
2.7 The user is responsible for implementing state-of-the-art IT security measures to ensure that the use of the software within their organization complies with appropriate security standards.
2.8 The user is solely responsible for and warrants that they hold the necessary rights (in particular copyrights and data protection rights) to all data and information that they upload or transmit to the UMYNO Suite (including UMYNO AI/UMYNO AI+). The user ensures that the transmitted data does not infringe upon the rights of third parties and does not violate applicable law or regulatory requirements. UMYNO assumes no liability for damages resulting from a breach of these obligations by the user.
2.9 Users are responsible for ensuring that the technical requirements for the proper functioning of our UMYNO Suite are met, particularly with regard to the operating system, the Internet connection, and the (browser) software, in accordance with any technical specifications provided by UMYNO. In the event of further development or modification of the technical components of the UMYNO Suite (e.g., operating system, browser software), it is the user’s responsibility to make the necessary adjustments to the software being used.
2.10 When using the UMYNO Suite, it is specifically prohibited to process, make available to third parties, or otherwise associate with the UMYNO Suite any content that
contain pornographic or obscene material,
glorify war, terrorism, and other acts of violence,
are likely to seriously endanger the moral well-being of children or adolescents,
depict people in a manner that violates human dignity and/or report on actual events without there being an overriding legitimate interest specifically in this form of reporting,
incite hatred against segments of the population or against a national, racial, religious, or ethnic group; call for violence or arbitrary measures against them; or violate the human dignity of others by insulting, maliciously disparaging, or defaming segments of the population or any of the aforementioned groups;
depict cruel or otherwise inhumane acts of violence against humans or animals in a manner that glorifies or trivializes such acts of violence, or that portrays the cruel or inhumane nature of the act in a way that is degrading,
are likely to slander, insult, threaten, or speak ill of others.
2.11 When using the UMYNO Suite, users are also prohibited from:
to infringe upon third-party intellectual property rights, such as trademarks, copyrights, and rights to a name,
Using any measures, mechanisms, or software in connection with the UMYNO Suite that could interfere with the functionality and operation of the UMYNO Suite,
to take any actions that could result in an unreasonable or excessive strain on the technical capacity of the UMYNO Suite,
blocking, overwriting, or modifying content,
to add elements to the UMYNO Suite, or to change, delete, or otherwise modify elements of the UMYNO Suite,
to copy, extract, or otherwise use any graphical elements, or to attempt to decompile the source code of the UMYNO Suite (subject to § 69e of the German Copyright Act),
Using tools that interfere with the operation of the UMYNO Suite (in particular so-called “bots,” “hacks,” etc.),
to obtain functions or other advantages, such as the systematic or automatic control of the UMYNO Suite or individual functions of the UMYNO Suite, through the use of third-party software or other applications, or to exploit program errors for one’s own benefit (“exploits”),
to distribute commercial advertisements for third-party products or programs in connection with UMYNO’s services,
to use documents, files, third-party IT systems, or data that contain malicious code or viruses in connection with UMYNO’s services,
to use mechanisms, software, or scripts that go beyond the provided functionalities and interfaces, particularly if this results in our services being blocked, modified, copied, or overwritten, as well as
our software by altering data (Section 303a of the German Criminal Code), computer sabotage (Section 303b of the German Criminal Code), falsifying evidence-relevant data (Sections 269 and 270 of the German Criminal Code), suppressing evidence-relevant data (Section 274 of the German Criminal Code), computer fraud (Section 263a StGB), data espionage (Section 202a StGB), data interception (Section 202b StGB), or other criminal offenses.
3. UMYNO AI: Supplementary Provisions
3.1 UMYNO AI/UMYNO AI+ is available in the UMYNO Suite. UMYNO does not use customer data, nor does it allow third parties to use such data to train the machine learning models that power UMYNO AI/UMYNO AI+.
3.2 The User may submit input that is processed by UMYNO AI/UMYNO AI+ (Input) and receive output that is generated and returned by UMYNO AI/UMYNO AI+ based on the Input (Output). Both Input and Output are considered Customer Data. The Customer is solely responsible for the content, operation, maintenance, and lawful use of the Customer Data. The Customer must ensure that both its Input and the Output generated by UMYNO AI/UMYNO AI+:
does not violate any applicable laws;
does not violate these UNYNO Terms and Conditions, the General Terms and Conditions, or the contract;
does not infringe upon, impair, or unlawfully appropriate the rights of UMYYNO or any third party.
3.3 The user is responsible for ensuring that the input does not contain any personal or other sensitive data beyond what is strictly necessary and that is not required for the use of UMYNO AI/UMYNO AI+.
3.4 UMYNO uses technologies provided by a third-party provider to offer UMYNO AI/UMYNO AI+ (“Technology Partner”). UMYNO provides the Technology Partners upon request. The User acknowledges that (i) any text entered by the User in UMYNO AI/UMYNO AI+, including any personal data, (ii) information provided via an upload in UMYNO AI/UMYNO AI+ (iii) as well as specific content stored in the UMYNO Suite (Input) will be shared with Technology Partners in order to provide the User with the UMYNO AI/UMYNO AI+ service (Output).
3.5 The user agrees that any personal data contained in the input for UMYNO AI/UMYNO AI+ may be transferred to technology partners who may not provide the same level of protection for your personal data, depending on the location of the technology partners.
3.6 The number of requests (chat requests) sent to UMYNO AI/UMYNO AI+ may be limited per month.
3.7 The input required for UMYNO AI+ services may vary depending on the tasks and activities involved. The specific input required for each UMYNO AI+ service is outlined in the description. Data is transmitted to the technology partner solely by clicking the corresponding button in the UMYNO Suite.
3.8 The user is obligated to use UMYNO AI/UMYNO AI+ solely for internal purposes and for inquiries related to the use of the UMYNO Suite. In particular, UMYNO AI/UMYNO AI+ may not be used for immoral or personal purposes. The use of UMYNO AI/UMYNO AI+ is subject to the Fair Use Policy (FUP) in addition to these Terms of Use. This policy describes the permissible use of the AI as well as the restrictions and penalties for misuse. The Fair Use Policy is an integral part of these Terms of Use and is expressly accepted by using UMYNO AI. You can view the Fair Use Policy at any time at [Link to FUP].
3.9 Artificial intelligence models can improve over time based on feedback and specific use cases. UMYNO may use data collected through the customer’s use of UMYNO AI/UMYNO AI+ solely to improve UMYNO AI/UMYNO AI+ if the customer (i) voluntarily provides feedback, e.g., by rating the output with a thumbs-up or thumbs-down, or (ii) expressly grants permission to do so.
3.10 The User may not use UMYNO AI/UMYNO AI+ or its output to (i) develop foundational models or other large-scale models that compete with UMYNO or UMYNO AI/UMYNO AI+; (ii) mislead any person into believing that the output of the Services was created exclusively by humans; (iii) generate spam or content for use in election campaigns; or (iv) in any manner that violates technical documentation, usage guidelines, or parameters.
3.11 The user is solely responsible for, and is further obligated to, verify the accuracy and suitability of the input, as well as the suitability of all values and information (output) suggested by UMYNO AI/UMYNO AI+ during its operation. UMYNO makes no warranty regarding the results that may be achieved through the use of UMYNO AI/UMYNO AI+ or regarding the accuracy of information obtained through UMYNO AI/UMYNO AI+. The Customer understands and agrees that any material and/or data obtained through the use of UMYNO AI/UMYNO AI+ is at the Customer’s own risk. The Customer should not rely on factual claims in the output without independently verifying their accuracy. Output that appears correct due to its level of detail or specificity may nevertheless contain material inaccuracies. Output may not take into account events or changes in underlying facts that occurred after the AI model was trained. No information or advice received by the customer from UMYNO or via UMYNO AI/UMYNO AI+ creates any warranty not expressly made herein.
3.12 UMYNO provides UMYNO AI/UMYNO AI+ as a support feature based on machine learning. The Customer acknowledges that certain expected or desired features typically associated with artificial intelligence may not be included in UMYNO AI/UMYNO AI+. Any limitation or absence of individual AI functionalities that were not expressly contractually guaranteed does not constitute grounds for a reduction in compensation or liability, provided that this does not impair the contractually agreed basic functionality and service provision by UMYNO. Risks arising from unrealistic expectations regarding the scope of services of UMYNO AI/UMYNO AI+ shall not be borne by UMYNO.
3.13 Notwithstanding any provisions to the contrary in the Customer’s contract or the service specifications, downtime of UMYNO AI/UMYNO AI+ caused by the failure of a third-party service shall not be included in the availability and downtime calculations.
3.14 By using UMYNO AI/UMYNO AI+, the user agrees to comply with all applicable local laws and regulations governing the user’s use of UMYNO AI/UMYNO AI+. If one of our technology partners is no longer authorized in the user’s country, the use of UMYNO AI/UMYNO AI+ is entirely at the user’s own risk, and UMYNO shall not be liable for any damages or losses arising from such use.
3.15 UMYNO reserves the right to discontinue the services of a technology partner or UMYNO AI/UMYNO AI+ at its sole discretion, and the user acknowledges and agrees that the user may not take any legal action against UMYNO should such a measure be taken. In this case, the user is entitled to terminate UMYNO AI/UMYNO AI+ for cause with four weeks’ notice to the end of the month.
4. Term of the Agreement and Termination
4.1 For a free trial account, the contract is valid for 14 days. The user has the right to cancel their account at any time. This is done by clicking the corresponding button and then confirming the action. For Enterprise accounts, written notice is required.
4.2 UMYNO is entitled to terminate a trial account at any time with one day’s notice. Notice of termination must be provided in writing.
4.3 For paid accounts, the minimum contract term is 12 months. The term is automatically extended by 12 months unless the user cancels the contract at least two weeks before the end of the contract term. Cancellation must be made in writing or via email. For paid Enterprise accounts, the minimum contract term is specified in a license agreement.
4.4 For the duration of the contract, UMYNO shall provide the user with access to the UMYNO Suite offered at http://www.umyno.com as software-as-a-service via the Internet.
4.5 Upon termination of the paid account, the account will be suspended. If the user has created data—such as recipes or other notes—UMYNO will keep this data available for two years after the account is terminated, so that the user can access this data again if they sign up for a paid account in the future. UMYNO will delete this data and the account if the user expressly requests this in writing.
4.6 The right to terminate the agreement immediately for good cause remains unaffected. For UMYNO, good cause exists in particular if a user has breached the obligations set forth in Section 2 of these Terms of Use.
4.7 UMYNO grants the User a non-exclusive, simple, non-transferable right to use the UMYNO Suite, limited to the term of the Agreement. The User agrees to use the UMYNO Suite exclusively in accordance with the contract and not to make it available to third parties for use. The User grants UMYNO the non-exclusive, royalty-free, transferable, sublicensable, worldwide right to use all information, data, and other content provided or transmitted by the User for the purpose of operating and further developing the UMYNO Suite.
4.8 UMYNO has the right to terminate paid accounts with four weeks' notice.
5. Prices
5.1 The current prices for the UMYNO Suite are displayed during the booking or upgrade process. The same applies to the available payment methods. The user receives an annual invoice for the fee associated with the paid account.
5.2 Current pricing for Enterprise accounts is provided on a case-by-case basis. The user receives an annual invoice for the fee associated with the paid Enterprise account.
5.3 The prices listed are monthly net prices in euros and are exclusive of applicable statutory sales tax at the currently valid rate, where applicable. Billing is done annually.
5.4 In the event of default, if no payment has been made even after the expiration of a grace period of one calendar week following the due date, UMYNO is entitled to immediately suspend the User’s access to the Software. UMYNO will notify the User of this suspension in advance, setting a further grace period of one calendar week. In this case, the User remains obligated to continue paying the agreed-upon fee plus any late payment interest. The User may not assert any claims against UMYNO for damages caused by the suspension for this reason.
5.5 The prices for optional add-ons are also displayed during the booking process. These prices will be added to the base fee in accordance with the agreed billing period.
5.6 Invoices are payable within 14 days without any deductions.
6. Availability and response times in the event of malfunctions
6.1 UMYNO guarantees an average annual availability of 99% for the UMYNO Suite provided. This does not include periods during which the server is unavailable due to technical or other issues beyond UMYNO’s control (in particular, force majeure or the fault of third parties). Also excluded are scheduled maintenance activities (e.g., updates to the UMYNO Suite) that either take place outside of normal business hours from Monday to Friday (taking into account public holidays in Frankfurt am Main) between 9:00 a.m. and 5:00 p.m. Central European Time, or that were announced in advance in accordance with Section 6.2. Downtime of UMYNO AI/UMYNO AI+ pursuant to Section 3.13 is also excluded.
6.2 UMYNO is entitled to interrupt the availability of the UMYNO Suite for maintenance purposes and due to other technical requirements. Maintenance work will, to the extent possible, be carried out outside of normal business hours from Monday through Friday (taking into account public holidays in Frankfurt am Main) between 9:00 a.m. and 5:00 p.m. Central European Time. If maintenance work is expected to result in an interruption of the UMYNO Suite lasting more than 30 minutes during normal business hours from Monday through Friday (taking into account public holidays in Frankfurt am Main) between 9:00 a.m. and 5:00 p.m. Central European Time, UMYNO will announce this maintenance work via email. The announcement will be made at least 24 hours in advance.
6.3 The user must report any disruptions to system availability immediately upon becoming aware of them. UMYNO will endeavor to ensure a response time of 6 hours to begin troubleshooting for reports of system availability disruptions that result in a total failure of the software and are received during support hours (Monday through Friday between 9:00 a.m. and 5:00 p.m. Central European Time, taking into account public holidays at the Frankfurt am Main location). In the case of minor errors that do not result in a total failure of the UMYNO Suite and occur during ongoing operations, UMYNO will endeavor to respond no later than one business day after receiving the error report.
6.4 For trouble tickets received outside of support hours, troubleshooting will begin on the next business day.
7. Liability
7.1 UMYNO shall be fully liable to the user in accordance with the provisions of law for any injury to life, limb, or health resulting from a negligent or intentional breach of duty by UMYNO, its legal representatives, or its agents.
7.2 UMYNO shall be fully liable to the user in accordance with the provisions of law for any damages resulting from intentional or grossly negligent breaches of contract or fraudulent misrepresentation by UMYNO, its representatives, or its agents.
7.3 UMYNO and its representatives or vicarious agents shall be liable for property damage and financial loss caused by negligence only in the event of a breach of a material contractual obligation, but the amount of such liability shall be limited to damages that were foreseeable at the time the contract was concluded and are typical for this type of contract. UMYNO’s liability is limited to a maximum of the revenue generated from the business relationship with the user over the past 12 months. This limitation does not apply to the complete and permanent loss of information as described in Section 7.5.
7.4 UMYNO shall not be liable for the correct, legally compliant, defect-free, and safe production of beverages or food products based on recipes created and stored at UMYNO. UMYNO shall not be liable for the completeness and/or accuracy of information provided by suppliers or regarding ingredients.
7.5 UMYNO is liable for the complete and permanent loss of formula, ingredient, or supplier information within the terms and scope of its existing business liability insurance (500,000 euros per claim, 1 million euros per contract year for all claims). This business liability insurance can be provided upon request. The limitations of liability for the loss of recipe, ingredient, or supplier information do not apply to intentional acts by UMYNO, nor to injuries to life, limb, or health, nor to claims arising under the Product Liability Act.
7.6 UMYNO is neither obligated nor liable for the completeness or accuracy of the information provided on the UMYNO Suite, including, but not limited to, suppliers’ contact details and product information (portfolio), as well as the characteristics of ingredients and the output of the AI product UMYNO AI/UMYNO AI+.
7.7 Any further liability is excluded.
8. Subject to change
8.1 UMYNO reserves the right to amend these General Terms of Use at any time or to supplement them with provisions governing the use of any newly introduced additional services or features of the software. The User will be notified of any amendments or supplements to the General Terms of Use by email sent to the email address provided by the User no later than four weeks before the planned effective date. The User’s consent to the amendment of the General Terms of Use shall be deemed to have been given if the User does not object to the amendment in writing (e.g., letter, fax, email) within a period of two weeks beginning on the day following the notification of the amendment. UMYNO undertakes to separately indicate in the notice of amendment the possibility of objection, the deadline for objection, the requirement for written form, as well as the significance and consequences of failing to object.
8.2 UMYNO is entitled to adjust the prices for the paid contractual services to offset increases in personnel and other costs. UMYNO will notify the User in writing of these price adjustments and the effective date of the adjustment. The price adjustments do not apply to periods for which the User has already made payments.
8.3 If the user objects to a change as described in this Section 8 in the proper form and within the prescribed time limit, the contractual relationship shall continue under the previous terms and conditions. In such a case, UMYNO reserves the right to terminate the contractual relationship for cause with four weeks’ notice.
8.4 UMYNO reserves the right (see Section 1.12) to modify or adapt the user interface and the scope of functions of the UMYNO Suite at its sole discretion, provided that this does not result in a material impairment of the principal services contractually owed. In such cases, the user has no right to object. However, if a change results in a significant and permanent impairment of the core functions that is unreasonable for the user, the user is entitled to terminate the contract extraordinarily with four weeks’ notice to the end of the month.
9. Final Provisions
9.1 Any amendments or additions to this Agreement must be made in writing. This also applies to this clause regarding the required form. No oral side agreements have been made.
9.2 This Agreement is governed by the laws of the Federal Republic of Germany, excluding the conflict-of-laws rules of private international law. The United Nations Convention on Contracts for the International Sale of Goods is excluded. If the User is a consumer, mandatory consumer protection provisions under the law of the country in which the consumer has his or her habitual residence shall remain applicable.
9.3 If the user is a merchant, the exclusive venue for all disputes arising out of or in connection with this contract and its performance shall be Frankfurt am Main. UMYNO may, at its discretion, also bring an action against the user, who is a merchant, at the user’s place of business.
9.4 If the user is not a merchant and does not have a registered office or place of residence in Germany or within the scope of the Brussels I Regulation, the exclusive place of jurisdiction shall be Frankfurt am Main.
9.5 If any provision of this Agreement is held to be invalid, such invalidity shall not affect the validity of the remaining provisions. The parties shall endeavor to replace the invalid provision with one that best achieves the purpose of the Agreement from both a legal and economic standpoint.

These Terms and Conditions govern the contractual relationship between UMYNO Solutions GmbH (hereinafter: UMYNO) and the customer (hereinafter: Customer) regarding the provision of support services, whether for a fee or free of charge, in connection with the UMYNO platform (hereinafter: UMYNO Suite). The Customer’s terms and conditions shall not form part of this contract, even if UMYNO has not expressly objected to them.
1. Services
1.1 Support services include, for example, consulting and training services, assistance with modification, configuration, and setup services, or data migration services (“Services”). UMYNO provides these Services exclusively on the basis of these General Terms and Conditions (hereinafter: GTC) and the individual agreements concluded between the Customer and UMYNO in this regard (hereinafter: Order).
1.2 The contract between UMYNO and the customer is formed upon the customer’s acceptance of a quote prepared by UMYNO or through another agreement (e.g., via email or telephone).
1.3 The services to be provided by UMYNO are set forth in the orders, any supplementary service descriptions, and, in the alternative, these General Terms and Conditions. UMYNO is not obligated to provide any services other than those expressly described in the order.
1.4 Unless otherwise expressly agreed in writing, deadlines and cost estimates are to be understood as non-binding.
1.5 To the extent that UMYNO refers to legal requirements (e.g., tax considerations, consent requirements, data protection requirements) or provides legally relevant texts or content, these are merely suggestions. UMYNO does not provide legal advice and, accordingly, cannot guarantee that the services mentioned are in compliance with the law.
1.5 Unless otherwise agreed, UMYNO provides the support services under a service contract and therefore does not guarantee a specific outcome.
1.6 Services are generally provided at UMYNO’s business premises, unless the services require the provider to be physically present at the customer’s location or a different location has been agreed upon.
1.7 Employees assigned by UMYNO are not subject to instructions from the client or its users when performing the tasks assigned to them. The assigned employee is free to organize their work as they see fit (in terms of time, duration, nature, and location of the work). However, they must take into account specific operational needs and requirements related to the work. Furthermore, the assigned employee is not bound by any specific location or working hours. However, project-specific time requirements set by the client and its users must be observed following consultation (e.g., meeting dates). UMYNO is entitled to have its services performed by third parties and subcontractors.
1.8 If UMYNO is unable to perform its services due to the User’s default in acceptance or any other reason arising from the Customer’s sphere of operations, the provisions of Section 615 of the German Civil Code (BGB) shall apply.
2. Customer Obligations
2.1 UMYNO relies on the Customer’s cooperation to ensure the successful and timely performance of the services it is obligated to provide. The Customer is obligated to notify UMYNO, even without being asked, of any circumstances that may be relevant to the provision of services by UMYNO and that the Customer is aware of but which UMYNO does not know about.
2.2 In the event of defects or other malfunctions, the customer is required to report them to UMYNO immediately and to provide any information in its possession that is necessary to resolve the issue.
2.3 Further details regarding the customer’s obligations and duties to cooperate may be set forth in the order.
2.4 The customer is required to ensure that its users of the UMYNO Suite are informed of these obligations.
3. Customer's Rights of Use
3.1 Unless otherwise provided in these Terms and Conditions or the Order, UMYNO grants the Customer a simple (i.e., non-exclusive), non-transferable, and non-sublicensable right to use the services provided for the purposes agreed upon in the Order; in case of doubt, this right is limited to the Customer’s own business purposes.
3.2 UMYNO retains ownership of all intellectual property rights in the UMYNO Suite and the results of supporting services. All intellectual property rights associated with, embodied in, or resulting from the UMYNO Suite (“New Rights”) are exclusively vested in UMYNO. This also applies if such New Rights are based on suggestions, specifications, feedback, requests for modifications or configurations, ideas, contributions, comments, or other input from the Customer, Users, or third parties. The New Rights do not include Customer data processed via the UMYNO Suite.
3.3 The Customer grants UMYNO a transferable, unlimited, worldwide, sublicensable, assignable, modifiable, perpetual, and royalty-free license to distribute and use all customer-specific modifications and configurations to the UMYNO Suite that have been created as a result of support services commissioned by the Customer.
3.4 UMYNO retains the right, in particular, to use the support services, as well as any new rights derived therefrom, sketches thereof, ideas, or parts thereof, for the UMYNO Suite as new releases or new functionalities for all current and future customers, as well as for other UMYNO projects and activities, without restriction.
3.5. All copyrights to the UMYNO Suite, including the software, source code, and add-ons, the documentation, all related materials, and all current, past, and future configurations and modifications, whether existing or arising from the support services, remain exclusively with UMYNO.
4. Pricing for support services
4.1 All services provided by UMYNO to the customer shall be compensated in accordance with the terms and conditions specified in the offer or referred to therein.
4.2 In the case of hourly billing, UMYNO will invoice for the hours worked on a regular basis, generally on the 15th of each calendar month. For hourly billing, the invoice must be accompanied by a work report specifying the date or time period, duration, and nature of the work performed. Billing is based on 15-minute time units. UMYNO may issue invoices in electronic form.
4.3 Travel must be coordinated with the customer in advance. Travel time to and from the customer’s location shall also be considered 50% working time. UMYNO must provide documentation of travel expenses, which the customer shall reimburse.
4.4 All prices are quoted in euros plus the applicable sales tax.
4.5 Invoices are due within 14 days, without any deductions.
5. Liability
5.1 UMYNO shall be fully liable to the user in accordance with the provisions of law for any injury to life, limb, or health resulting from a negligent or intentional breach of duty by UMYNO or by its legal representatives or agents.
5.2 UMYNO shall be fully liable to the user for damages resulting from intentional or grossly negligent breaches of contract or fraudulent misrepresentation by UMYNO, its representatives, or its agents, in accordance with the provisions of law.
5.3 UMYNO and its representatives or vicarious agents shall be liable for property damage and financial loss caused by negligence only in the event of a breach of a material contractual obligation, but the amount of such liability shall be limited to damages that were foreseeable at the time the contract was concluded and are typical for this type of contract. UMYNO’s liability shall be limited to a maximum of the revenue generated from the business relationship with the user over the past 12 months.
5.4 Any further liability is excluded.
6. Subject to change
6.1. UMYNO has the right to amend these General Terms and Conditions or to supplement them with provisions governing the use of any newly introduced additional services or features of the UMYNO Suite. The Customer will be notified of any amendments or supplements to the General Terms and Conditions by email sent to the email address provided by the Customer no later than four weeks before the planned effective date. The Customer’s consent to the amendment of the General Terms and Conditions shall be deemed to have been given if the Customer does not object to the amendment in writing (e.g., letter, fax, email) within a period of two weeks beginning on the day following the notification of the amendment. UMYNO undertakes to separately indicate in the notice of amendment the possibility of objection, the deadline for objection, the requirement for written form, as well as the significance and consequences of failing to object.
6.2 If the user objects to a change as described in this Section 6 in the proper form and within the prescribed time limit, the contractual relationship shall continue under the previous terms and conditions. In such a case, UMYNO reserves the right to terminate the contractual relationship for cause with four weeks’ notice.
7. Final Provisions
7.1. Any amendments or additions to this Agreement must be made in writing. This also applies to this written form clause. No oral side agreements have been made.
7.2 If UMYNO processes the Customer’s personal data on behalf of the Customer in connection with the provision of services, UMYNO acts as a processor within the meaning of Article 4(8) of the GDPR, and the Customer acts as a controller within the meaning of Article 4(7) of the GDPR.
7.3 This Agreement is governed by the laws of the Federal Republic of Germany, excluding the conflict-of-laws rules of private international law. The United Nations Convention on Contracts for the International Sale of Goods is excluded. If the User is a consumer, mandatory consumer protection provisions under the law of the country in which the consumer has his or her habitual residence shall remain applicable.
7.4 If the user is a merchant, the exclusive venue for all disputes arising out of or in connection with this Agreement and its performance shall be Frankfurt am Main. UMYNO may, at its discretion, also bring an action against the user who is a merchant at the user’s place of business.
7.5 If the user is not a merchant and does not have a registered office or place of residence in Germany or within the scope of the Brussels I Regulation, the exclusive place of jurisdiction shall be Frankfurt am Main.
7.6 If any provision of this Agreement is invalid, this shall not affect the validity of the remaining provisions. The parties shall endeavor to replace the invalid provision with one that best achieves the purpose of the Agreement from both a legal and economic standpoint.

It defines and specifies the binding system capacities, individual configuration options, and the support and management services for the use of the UMYNO Suite in the respective available SLA packages (BRONZE, SILVER, GOLD).
